Terms of Service

Welcome to HeadshotHQ ("HeadshotHQ," "we," "our," or "us"). These Terms and Conditions (the "Terms") form a legally binding agreement between you ("you," "your," "user," or "customer") and HeadshotHQ for the use of our website, applications, and related services (the "Service"). By creating an account, uploading photos, downloading images, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Service Overview

HeadshotHQ provides AI-based image generation. You upload photos ("User Content"), and our AI generates professional-style AI headshots ("AI Headshots"). You can preview results before downloading.

2. Eligibility

You must:

• be at least 18 and able to enter into binding agreements;
• use the Service in accordance with applicable laws;
• not have been previously suspended; and
• if using for an organization, be authorized to accept these Terms on its behalf.

The 18+ requirement governs contract capacity to use the Service. Data processing for users in the EU/UK additionally follows the digital age of consent applicable in the user's jurisdiction (typically 13–16 under GDPR Art. 8), as described in our Privacy Policy.

3. Accounts and Registration

Create an account or sign in via an authorized third-party provider (e.g. Google). Keep your credentials secure. You are responsible for all activity under your account. We may refuse, suspend, or terminate accounts for violations or risk to the Service.

4. Fees, Payments, and Refunds

4.1 Pricing and Payment

Fees are listed in your local currency where supported, with US Dollars (USD) as the default for unsupported regions, and include applicable taxes unless stated otherwise. Currency is auto-detected from your locale and can be changed via the language/currency switcher. Payments are processed by authorized third-party providers (currently Stripe Payments Europe, Limited). By purchasing, you authorize us to charge your selected payment method the total amount due.

4.2 Refunds (including the Money-Back Guarantee)

You may request a refund within 14 calendar days of purchase if all of the following conditions are met (see also our full Refund Policy):

• No generation: You have not started AI generation for your order. Starting generation counts as use of the digital product. As a goodwill exception, if your uploads followed our upload guidelines and the results are still unsuitable for professional use, you may request a refund after generation, subject to our review.
• Upload compliance: Your uploaded photos must comply with our upload guidelines. We may review your uploads to verify compliance, as non compliant inputs can directly affect output quality and are the most common cause of poor results.
• Timing: You submit your refund request within 14 days of purchase.

How to request: email [email protected]. Most refunds are processed within 1–3 business days; if approved, funds are returned to the original payment method and typically appear within 5–10 business days (your bank/provider may vary). Refunds cannot be redirected to another account.

Consumer rights: Any rights you have under applicable consumer laws are unaffected.

4.2.1 EU/UK Right of Withdrawal

Under the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts Regulations 2013, consumers have a 14-day statutory right of withdrawal for digital services. By placing an order and starting AI generation, you expressly consent to immediate performance of the digital service and acknowledge that you lose your statutory right of withdrawal once generation has begun (Art. 16(m) of Directive 2011/83/EU). This statutory right is separate from, and in addition to, our voluntary 14-day money-back guarantee described in §4.2.

4.3 Team Accounts and Bulk Orders

For Team plans/bulk orders (10+ models generated), refunds may be granted on a pro-rata basis reflecting resources consumed. Final amounts are determined by HeadshotHQ in line with these Terms.

4.4 Exclusions and Abuse

We may decline refund requests that do not meet these conditions or indicate abuse, fraud, or misuse. Customers who previously received a refund (partial or full) may be ineligible for subsequent refunds, except where required by applicable law.

5. Privacy, Biometrics, Retention, and Deletion

We process personal data to provide the Service and generate your AI Headshots. We do not use your photos to train our models unless you give explicit permission. You remain owner of your uploads.

Biometric data: We process facial photos solely to generate stylized portraits. We do not perform face recognition, identity matching, or create persistent biometric templates for unique identification of natural persons within the meaning of GDPR Art. 9.

Retention: Uploaded source photos and trained personalization models are retained for up to 90 days after generation completes, then permanently deleted. Generated AI Headshots remain available in your account until you delete them or your account is closed. Encrypted backups are purged within 90 days. Invoices and tax records are retained for 10 years as required by the Bulgarian Accountancy Act.

Account deletion: You may delete your account at any time from /app/settings. Deletion permanently removes your uploads, models, and outputs within 90 days, except where retention is legally required (see above). You may also export your data in machine-readable format from the same screen (GDPR Art. 20). See our Privacy Policy for full details.

6. Intellectual Property in Inputs and Outputs

• Your uploads: You retain ownership of photos you upload and warrant you have all necessary rights and consents.
• Outputs: Subject to these Terms and applicable law, we assign to you a non-exclusive, worldwide, royalty-free right to use, reproduce, and display your AI Headshots for personal or professional purposes. We do not guarantee uniqueness of outputs due to the nature of generative AI.
• License to HeadshotHQ (to operate the Service): You grant us a limited, non-exclusive, royalty-free, worldwide license to host, process, cache, reproduce (for technical purposes), and transmit your uploads and outputs solely to provide, maintain, secure, troubleshoot, and back up the Service. We may engage sub-processors to perform these functions on our behalf under strict confidentiality and data-protection obligations. This license: (i) does not transfer ownership; (ii) does not permit marketing, public display, sale, or model training; and (iii) terminates when your content is deleted from the Service (subject to standard backup retention). We will not use your photos for model training.

7. Transparency on AI-Generated Content

AI Headshots are synthetic images and may contain minor artifacts. In line with Article 50 of the EU AI Act, outputs include machine-readable AI provenance metadata (e.g., C2PA / IPTC Digital Source Type "trainedAlgorithmicMedia") where technically feasible, so downstream platforms can detect that the image is AI-generated. We may also include visible indicators such as watermarks where appropriate. You agree not to remove, alter, or obscure these AI-disclosure indicators.

8. User Content Rules (Rights, Consents, and Likeness)

You represent and warrant that:

• you own or have permission to use the uploaded photos;
• you have obtained all necessary permissions from identifiable individuals depicted;
• your uploads do not violate privacy, publicity, or other personality rights; and
• your uploads do not infringe third-party IP.

9. Acceptable Use (Prohibited Uses)

You must not:

• violate laws or third-party rights;
• create deceptive deepfakes, impersonations, or misleading endorsements;
• upload and/or generate pornographic, sexually explicit, hateful, harassing, or discriminatory content;
• attempt to re-identify individuals from outputs;
• probe, scan, or test the vulnerability of the Service;
• scrape, resell, or use outputs to build or train models except as allowed under a separate written agreement; or
• interfere with or bypass Service safeguards.

10. Third-Party Services and Links

The Service may rely on or link to third-party services (e.g., payment processors, hosting, analytics). We are not responsible for third-party content, terms, or policies. Your use of third-party services is subject to their terms.

11. Beta/Trial Features

We may release preview, beta, or experimental features (clearly labeled as such in-product). These are provided "as is," may be modified or discontinued at any time, may be less stable than generally available features, and may be subject to additional terms presented at activation.

12. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage. We do not guarantee that every output will meet your expectations.

13. Limitation of Liability

To the maximum extent permitted, HeadshotHQ and its affiliates, officers, employees, and partners are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or goodwill). Our total liability for claims relating to the Service will not exceed the greater of: (i) the amount you paid in the 12 months preceding the claim, or (ii) $100 USD. For consumers in the EU, UK, and other jurisdictions with non-waivable consumer protections: nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or intentional misconduct, or for any other liability that cannot be limited or excluded under applicable mandatory law.

14. Indemnity

You agree to defend, indemnify, and hold harmless HeadshotHQ and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your uploads or outputs, including IP, privacy, publicity, or personality-rights claims; (b) your breach of these Terms; or (c) your misuse of the Service.

15. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, created risk or possible legal exposure for us or others, or if we are required to do so by law or a regulator. Upon termination, the licenses granted to you will continue for AI Headshots already lawfully downloaded; AI Headshots that were generated but not downloaded will be deleted along with your uploads and personalization model. Sections intended to survive (e.g., IP, disclaimers, limitations, indemnity, governing law) will survive termination.

16. Compliance; Export and Sanctions

You represent that you are not located in, under control of, or a resident of any country or person subject to sanctions or export controls that would prohibit use of the Service. You agree to comply with applicable export, re-export, and sanctions laws and not to use the Service for prohibited end-uses.

17. Consumer Rights

Nothing in these Terms affects rights you may have under applicable consumer laws (including any mandatory rights related to digital content).

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bulgaria, where HeadshotHQ is established. Disputes will be brought before the competent courts in Sofia, Bulgaria, unless mandatory consumer laws in your country allow you to bring a claim locally. For consumers, nothing in this section deprives you of the protection of mandatory rules of the law of your country of habitual residence under Article 6 of Regulation (EC) No 593/2008 (Rome I) or equivalent local law. EU consumers may also seek help via the EU Consumer Redress system.

19. Changes to the Service and to These Terms

We may update features or content of the Service at any time. We may update these Terms from time to time; if we make important changes, we will notify you clearly (e.g., email, website notice, in-app message) before they take effect. Your continued use after changes become effective means you accept the updated Terms.

20. Sub-processors, Teams, and Data Processing

To deliver the Service, we engage the following categories of sub-processors under written contracts that include GDPR Art. 28-compliant data-protection terms:

• AI inference & model training: third-party GPU compute providers that run the image-generation model on your uploaded photos. Photos are transmitted under encryption, processed only to produce your AI Headshots, and not used by the provider for their own purposes or to train their own models.
• Backend & storage: Hetzner Online GmbH (database, authentication, file storage) hosted in the EU (Germany).
• Payments: Stripe Payments Europe, Limited.
• Analytics: Microsoft Clarity (product analytics).
• Customer support: Chatwoot (self-hosted by Lazy Group Ltd in the EU).
• Affiliate management: Partnero.
• Marketing measurement (only if you accept marketing cookies, see our Cookie Policy): LinkedIn, Meta, Google, TikTok, Xing.

For Teams plans, your organization may act as data controller and HeadshotHQ as processor under a Data Processing Addendum (DPA). To request a DPA or the current sub-processor list, contact [email protected]. (This section does not limit consumer rights under our Privacy Policy.)

21. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to: internet or telecommunications failures, cyberattacks, denial-of-service events, AI inference or cloud-provider outages, pandemics or epidemics, labor disputes, acts of God, war, terrorism, government actions, sanctions, or supplier failures.

22. Assignment

You may not assign these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

23. Severability; No Waiver

If a provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

24. Notices; Contact

We may provide notices by email, in-product messages, or on our site. You are responsible for keeping the email address on your account current; notices sent to that address are deemed received. For legal notices, contact: [email protected].

25. Affiliate Program

If you join our affiliate program (see /affiliate), the following terms apply in addition to the rest of these Terms:

• Eligibility & registration: you must complete affiliate signup and accept these Terms. We may refuse or terminate any affiliate account at our discretion, including for fraud, brand-safety concerns, or policy violations.
• Commission & attribution: commission rates and payout details are shown in the affiliate dashboard at the time of signup. Attribution uses a 60-day cookie window from a qualifying click, last-click attribution, on first-time purchasers only. Self-referrals do not qualify.
• Payout threshold & schedule: commissions are paid out monthly via the methods offered by our affiliate platform (Partnero), subject to a minimum payout threshold disclosed in the dashboard. You are solely responsible for taxes, social charges, and any reporting obligations on commissions you receive.
• Refund clawback: commissions on orders that are refunded, charged back, or fraudulently obtained are reversed and deducted from current or future payouts.
• Prohibited promotion: you must not (i) bid on the "HeadshotHQ" or "Lazy Group" trademarks or close variants in paid search; (ii) impersonate HeadshotHQ or imply official endorsement; (iii) send unsolicited email or messaging spam; (iv) use cookie stuffing, click fraud, incentivized traffic, malware, or adware; (v) promote on adult, hate-speech, illegal, or copyright-infringing platforms; (vi) make false earnings, performance, or product claims; or (vii) violate FTC, ASA, EU UCPD, or equivalent advertising-disclosure rules, affiliate links must be clearly disclosed as such.
• Independent contractor: the affiliate relationship is non-exclusive and creates no employment, partnership, joint venture, or agency relationship. You have no authority to bind HeadshotHQ.
• Termination: either party may terminate the affiliate relationship at any time. Unpaid commissions earned before termination remain payable, except where forfeited under this section (e.g., fraud, clawback).

26. Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute with your bank or card issuer, please contact [email protected] so we can resolve the issue directly, most concerns are resolved within one business day. Chargebacks initiated without first contacting us, or that we determine to be fraudulent or in bad faith, may result in immediate account suspension or termination, forfeiture of generated AI Headshots, and recovery of disputed amounts plus reasonable processing fees.

27. Reporting Illegal Content (EU Digital Services Act)

In line with the EU Digital Services Act (Regulation (EU) 2022/2065), if you believe content generated, uploaded, or distributed via the Service is illegal, for example unauthorized use of a person's likeness, child sexual abuse material, defamation, or IP infringement, please report it to [email protected] with: (i) your name and contact email; (ii) a precise description and location of the content (URL or order ID where possible); (iii) an explanation of why you believe it is illegal; and (iv) a good-faith statement that the information is accurate. We will acknowledge valid notices, act on them without undue delay, and inform you of the decision and available redress.
